The new Companies Act (Number 71 of 2008) was signed by the President on 8 April 2009 and is expected to take effect later this year. The new Act fundamentally changes the manner in which companies are to be operated and managed.

Parliament recently adopted the Mine Health and Safety Amendment Act.

Bell Dewar & Hall acted for Impala Platinum Holdings Limited ("Implats") in a transaction relating to African Platinum plc ("Afplats") in which Implats offered cash for the entire issued and to be issued share capital of Afplats. The Offer values each Afplats Share at 55 pence and the entire issued and to be issued share capital of Afplats at approximately R4 billion.
